1. Disclaimer & Limitation of Liability
Primefit Overall Sport Coaching LLC ("Primefit") provides lifestyle coaching, personal training, nutrition guidance, corporate wellness services, AI-powered features, and digital wellness tools for educational and informational purposes only. Our services are not intended to diagnose, treat, cure, or prevent any medical condition and should not be considered a substitute for professional medical advice, diagnosis, or treatment. You should consult a qualified healthcare professional before beginning any exercise, nutrition, or wellness program, especially if you have a medical condition, injury, are pregnant, or have any health concerns.
By accessing or using Primefit's services, website, mobile application, or participating in any coaching or training session, you acknowledge that physical activity involves inherent risks and voluntarily accept full responsibility for your participation. If you experience pain, dizziness, illness, injury, or any unusual symptoms during or after a session, you should immediately discontinue the activity and seek appropriate medical attention. Individual results vary, and Primefit does not guarantee any specific health, fitness, or weight-loss outcomes.
To the fullest extent permitted by applicable law, Primefit, its employees, coaches, trainers, nutritionists, contractors, affiliates, and technology partners shall not be liable for any indirect, incidental, special, or consequential loss, injury, or damages arising from the use of our services, digital platforms, AI-powered features, or reliance on any information provided.
2. INDEMNIFICATION
You agree to indemnify and hold us and our directors, officers, employees, contractors, affiliates, and any other individuals involved in generating, marketing, approving, or sending our services harmless from any and all claims, damages, losses, costs, or expenses arising directly or indirectly from your use of our services.
3. CHANGES TO TERMS AND CONDITIONS
We reserve the right to modify these terms and conditions at any time. Your continued use of our services following any changes constitutes your acceptance of the modified terms and conditions.
Governing Law: These terms and conditions are governed by the laws of the jurisdiction in which our health coaching company is based, and you agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.
4. PERSONAL TRAINING SERVICES
4.1. Program Packages, Validity & Payment Terms
All Personal Training packages (12, 24, or 36 sessions) must be paid in full and in advance. Partial or installment payments are not accepted unless specifically approved in writing. Package validity begins from the date of the first booked session, not the payment date.
Validity Duration:
- Silver: 12 sessions - Valid for 1 month (extension of up to 10 days on valid grounds)
- Gold: 24 sessions - Valid for 2 months (extension of up to 20 days on valid grounds)
- Platinum: 36 sessions - Valid for 3 months (extension of up to 25 days on valid grounds)
Extended Grace Period: In exceptional cases (e.g., travel or medical), an additional grace period of up to 20 days may be considered. Any extension beyond that is subject to management approval.
Clients are encouraged to maintain a frequency of 2-3 sessions per week to ensure program continuity. Primefit may, at its discretion, extend the total program timeline up to 4-4.5 months under special circumstances; however, this does not alter the session validity period or refund eligibility.
4.2. Trainer Scheduling & Program Continuity
Primefit operates under separate contracts and timelines with each trainer. Trainer schedules are pre-booked and managed within defined timeframes for client programs. If a trainer is unavailable due to travel, medical, or personal reasons, Primefit will arrange a replacement trainer where possible. Once the contracted program period has passed, Primefit cannot guarantee reinstatement of the same trainer or extension of the same program. Requests to resume sessions after the validity period or beyond approved grace duration are subject to new program enrollment and availability.
4.3. Cancellation & Rescheduling
- Silver: Minimum 24 hours’ notice required.
- Gold: Minimum 12 hours’ notice required.
- Platinum: Minimum 2 hours’ notice required.
If notice is not provided within the stated timeframe, the session will be counted as delivered. Primefit reserves the right to reschedule sessions with at least 12 hours’ notice in the event of trainer unavailability.
4.4. Refund & Credit Policy
Refunds are not applicable for:
- Change of mind
- Extended pauses beyond the approved grace period
- Non-utilization of sessions due to travel, schedule conflicts, or delayed usage
Refunds may be considered only under verifiable exceptional circumstances:
- Serious medical emergencies (with documentation)
- Permanent relocation outside the UAE (with proof)
- Multiple documented trainer-related performance issues where Primefit has been given a reasonable opportunity to investigate and assign a replacement trainer, and the replacement also fails to meet reasonable service standards. Trainer preference alone shall not constitute grounds for a refund.
In case of an approved refund:
- Completed sessions will be charged at the standard per-session rate
- A service and admin fee of AED 150 will be deducted
- Refunds will be processed within 7-20 business days
Alternatively, remaining sessions may be converted into a credit note valid for 60 days, subject to approval.
4.5. Trainer Conduct, Delays & Substitution Policy
Trainers are expected to arrive on time. A grace period of 15 minutes is provided. If a trainer is late more than twice in one month, clients may request:
- A replacement session (credit), or
- A trainer reassignment, subject to availability
If a trainer cancels last minute without valid justification, Primefit will assign a make-up session or substitute trainer. Any misconduct or repeated tardiness must be reported to the Client Experience team within 24 hours for action.
4.6. Inactivity & Abandonment Clause
If a client remains inactive (no sessions attended or scheduled) for 10 consecutive days without prior notice, Primefit may release or reassign the time slot. Inactivity beyond 50% of the program validity period without valid communication may result in the remaining sessions being converted to app-based follow-ups or marked expired without refund.
4.7. Package Extensions
Extensions are considered only in the event of:
- Medical emergencies
- Bereavement
- Long-term travel exceeding 14 consecutive days
Extension requests must be submitted before the original expiry date and may not exceed:
- 7 days for Silver
- 10 days for Gold
- 15 days for Platinum
Extensions are discretionary and subject to documentation and approval.
4.8. Client Conduct & Mutual Respect
Primefit has a zero-tolerance policy for harassment, disrespectful behavior, or abusive language directed at trainers or staff. Any breach of this clause may result in immediate termination of services without refund.
4.9. Communication & Scheduling Responsibility
Clients are expected to actively coordinate session bookings via WhatsApp or the official Primefit app. Weekly updates or schedule changes must be communicated clearly and ahead of time. At least one week’s notice is required for planned breaks or travel to avoid session forfeiture.
4.10. Limitation of Liability & Dispute Resolution
Primefit’s total liability is limited to the monetary value of the purchased package. Any disputes must first be addressed through Primefit’s internal mediation process. No legal proceedings may be initiated without first completing internal dispute resolution efforts.
4.11. Client Non-Circumvention & Trainer Engagement
Primefit invests substantial resources in marketing, customer acquisition, recruitment, trainer vetting, onboarding, scheduling, operations, technology, and ongoing management of its coaching network. These investments enable Primefit to introduce qualified trainers and deliver a structured wellness experience to its clients.
Accordingly, during the client's engagement with Primefit, and for a period of twelve (12) months following the completion, cancellation, expiration, or termination of any purchased program, the client agrees not to directly or indirectly:
- Engage, employ, contract, or receive personal training, coaching, nutrition, or wellness services from any Primefit trainer or coach introduced through Primefit, except through Primefit.
- Make any payment, whether directly or indirectly, to a Primefit trainer or coach for services that are the same as, similar to, or derived from services introduced through Primefit.
- Encourage, request, induce, or assist any Primefit trainer or coach to provide services outside the Primefit platform or to reduce, terminate, or circumvent their relationship with Primefit.
- Introduce, refer, assign, or redirect any friend, family member, colleague, employee, employer, business contact, or third party to a Primefit trainer or coach outside Primefit's official onboarding and booking process.
- Facilitate or arrange bookings, renewals, payments, or coaching services between any Primefit trainer and another individual without Primefit's prior written approval.
All referrals originating from an existing Primefit client shall be deemed Primefit referrals and must be onboarded, invoiced, scheduled, and managed exclusively through Primefit.
If a client wishes to continue working with the same trainer, all renewals, scheduling, package upgrades, referrals, bookings, and payments must be processed exclusively through Primefit.
Consequences of Breach
Any breach of this clause may result in:
- Immediate suspension or termination of services.
- Cancellation of any remaining package without refund.
- Removal of trainer access and future bookings.
- Recovery of reasonable damages, including customer acquisition costs, marketing expenses, recruitment, operational costs, legal fees (where applicable), and business development losses incurred by Primefit.
- Any additional remedies available under the executed agreement and applicable UAE law.
Exception
This clause does not restrict a client from engaging a trainer whom they can demonstrate they had an existing independent professional relationship with prior to being introduced through Primefit.
5. MOBILE APP
When downloading our Mobile App, you acknowledge and agree to the following terms:
App Store: Our app can be downloaded from various application stores or distribution platforms.
6. SUBSCRIBING TO OUR PAID SERVICES
Subscriptions refer to the paid access to the only Premium Services offered by Primefit Overall Sport Coaching LLC.
7. USER ACCOUNT AND INFORMATION
In order to access certain features of our platform, you may be required to create an account.
8. COMMUNICATION FROM PRIMEFIT AND TEAM
You agree to receive electronic communications from Primefit and its team, including but not limited to email and mobile notifications.
9. OPT-OUT OPTION
If at any time you wish to stop receiving these communications, you may opt-out by clicking on the unsubscribe link in the email or by adjusting your notification settings.
10. LICENSE
The Primefit Overall Sport Coaching LLC grants you a limited, non-exclusive, non-transferable license to use the Mobile App and its related services and products.
11. ONLINE CUSTOMISED PROGRAMS
The Online Programs and Coaching offers a Money Back Guarantee to all clients within 7 days of their subscription start date.
12. UPDATES TO TERMS
Primefit reserves the right, at its sole discretion, to revise or update these Terms and Conditions from time to time. Such changes shall be effective immediately upon being published on the website. Users are encouraged to review the Terms periodically. Continued use of Primefit’s services signifies acceptance of any modifications.
